Codechime Notes Terms of Use

The Terms of Use constitute a legally binding agreement between you (“User”) and Codechime Software Solutions (“Codechime,” “we,” “us,” or “our”), a software company organized under the laws of the Philippines, with its principal place of business in Cebu, Philippines. These Terms govern your access to and use of the Notes mobile application (“App”).

These Terms incorporate by reference our Privacy Policy, which explains how we collect, use, and share your personal information.

1. Acceptance of Terms

By downloading, installing, accessing, or using the App, you represent that you are at least 13 years old (or the age of majority in your region) and possess the legal capacity to enter into this agreement. If you do not agree to these Terms or our integrated Privacy Policy, do not download or use the App.

2. Description of Service

The App is a mobile text utility designed to log, store, and modify notes, thoughts, and text documents. The App utilizes cloud servers to store your entries instantly, ensuring data availability.

The Services are provided for general informational, organizational, and productivity tracking purposes. Codechime acts strictly as a passive conduit for your data storage; we do not read, endorse, publish, or take responsibility for the contents of your saved notes.

3. User Accounts and Inactivity

• Registration: Certain features, including multi-device cloud synchronization, require creating a Codechime account. You are entirely responsible for keeping your login credentials confidential.
• Guest Accounts: You may choose to use the App as a guest. Unlike traditional local storage tools, your guest notes are transmitted and held securely on our cloud servers under a temporary device identifier (UUID).
• Guest Data Erasure: If a guest account remains inactive (defined as no new notes added, edited, or accessed) for 30 consecutive days, or if app configurations are purged via data wiping, all server-side guest files are permanently destroyed. Registering a free account is strongly recommended to protect data continuity.
• Account Termination for Inactivity: We reserve the right to close registered accounts that experience zero login activity for 12 consecutive months. We will provide a 15-day warning to your registered email address prior to taking termination actions.

4. Subscriptions and Future Features (Tiers)

• Free and Ad-Supported Access: The initial release of this App is provided entirely free of charge. Future updates will introduce standard advertisements (such as Google AdMob) within the user interface.
• Pro Tier Architecture: Codechime reserves the right to introduce a paid subscription premium tier ("Pro Tier") in future updates. Upgrades, billing cycles, and transactions will be handled through the Google Play Store billing service. Downgrading or a lapse in Pro payment will result in account modification, data locking, or reversion to the baseline free metrics without erasing your base data.

5. User Conduct

You agree to use the App solely for lawful activities. You are strictly prohibited from:

• Using the App to store or process text that violates applicable state, national, or international laws.
• Interfering with, disabling, or hacking the backend cloud server architecture or security boundaries.
• Using automated scrapers, bots, or extraction scripts to target the service or its APIs.
• Attempting to reverse engineer, decompile, or steal the source code of the application.

6. User Content and Data License

• Ownership: You retain complete ownership of the titles, body text, and items you write inside the App (“User Content”).
• License to Codechime: To run a cloud-synchronized software environment, you grant Codechime a worldwide, royalty-free, non-exclusive license to host, process, transmit, back up, and replicate your User Content solely to deliver the services to you. This operational license terminates automatically when your notes are deleted or your account is closed.

7. Disclaimers and Limitations of Liability

Data Preservation Disclaimer: While Codechime employs robust cloud infrastructure and backups, using internet-based software applications carries inherent data risks. You acknowledge that technical anomalies, network dropouts, or device malfunctions can cause unexpected disruptions. You are encouraged to maintain independent backups of critical items. Codechime is not liable for data loss under any conditions.

• As-Is Basis: Codechime provides the Services "as is" and "as available" without explicit or implied warranties of merchantability, uptime reliability, or fitness for specific organizational tasks.
• Limitation of Liability: To the maximum tier allowed under governing law, Codechime's cumulative financial liability to you for all claims or damage events connected to this software shall never exceed one hundred US dollars ($100).

8. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the Republic of the Philippines. Any legal friction, dispute, or litigation arising out of or related to this system shall be submitted exclusively to the jurisdiction of the proper courts in Cebu City, Philippines.
