Terms of Use for Codechime Tasks App

These Terms of Use (the “Terms”) constitute a legally binding agreement between you (“you,” “your,” or “User”) and Codechime Software Solutions (“Codechime,” “we,” “us,” or “our”), a company organized and existing under the laws of the Philippines, with its principal place of business in Cebu, Philippines, governing your access to and use of the Codechime Tasks mobile application (the “App”) and all related services provided by Codechime (collectively, the “Services”).

These Terms incorporate by reference our Privacy Policy, available at [Insert Your Website Privacy Policy Link], which explains how we collect, use, and share your personal information.

1. Acceptance of Terms

By downloading, installing, accessing, or using the Services, you represent that you are at least 13 years old or have reached the age of majority in your jurisdiction and have the legal capacity to enter into these Terms. You acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not use the Services.

2. Description of Service

The App is a productivity tool designed for task management and team collaboration, allowing users to create tasks, assign them to team members, add comments, and track activity history.

The App is a tool to assist with personal and team organization. It is not a comprehensive or formal project management, legal compliance, or financial system. The App does not provide business, productivity, financial, or legal advice and should not be relied upon as the sole source of information for team or business decisions.

3. User Accounts

• Registration: To access all features, such as data sync and persistent team collaboration, you must register for a Codechime account by providing accurate information (e.g., name, email, mobile). You are responsible for maintaining the confidentiality of your account credentials.
• Guest Accounts: You may use the App as a guest. Data associated with guest accounts is stored temporarily on our servers. This data will be permanently deleted after 30 days of inactivity (defined as no new tasks, comments, or team activity). We strongly encourage you to register an account to prevent data loss and ensure data persistence.
• Account Termination by User: You may terminate your account at any time by contacting us at info@codechime.com.
• Account Suspension/Termination by Codechime: We reserve the right to suspend or terminate your account, with or without notice, for any reason, including but not limited to, a violation of these Terms.

4. Subscriptions and Payments (Paid Tier)

• Paid Features: Certain features of the App may require a paid subscription ("Paid Tier"). These features will be clearly identified within the App.
• Billing: All subscriptions will be managed and billed through the Google Play Store. Your purchase will be subject to Google's applicable payment policies, which we do not control.
• Subscription Lapse or Cancellation: If your paid subscription is canceled or lapses due to non-payment, your account will be downgraded to the Free Tier.
  • (a) You will lose access to all Paid Tier features (e.g., unlimited teams, advanced reports).
  • (b) Any existing data created with Paid Tier features (such as teams or tasks beyond the free limit) may be locked or made read-only.
  • (c) Your data will not be deleted, allowing you to re-subscribe at a later date to regain access to your data and features.

5. User Conduct

You agree not to use the App for any unlawful purpose. Prohibited conduct includes, but is not limited to:

• Violating any applicable laws or regulations.
• Storing or transmitting any unlawful, harassing, defamatory, obscene, or hateful content.
• Infringing on the intellectual property or privacy rights of any third party.
• Interfering with or disrupting the operation of the App or our servers.
• Impersonating any person or entity or inviting users to a team under false pretenses.
• Using the App to develop a competing product or service.
• Reverse engineering, decompiling, or attempting to derive the source code of the App.

6. User Content and Data

You retain ownership of the tasks, comments, and other information you enter into the App ("User Content").

• A. License to Codechime: You grant Codechime a non-exclusive, worldwide, royalty-free license to use, process, store, and transmit your User Content solely for the purposes of (a) providing, maintaining, and improving the Services (e.g., syncing your data, making it visible to your team); (b) developing new features; (c) conducting research and analytics in an anonymized and aggregated form; and (d) complying with applicable laws.
• B. Your Responsibility for Team Data: The App's core function is collaboration. You may invite other users to your teams and share User Content with them. You are solely responsible for the User Content you share and the users you invite.
  • You represent and warrant that you have all necessary rights and consents from your team members to collaborate with them and share their information (such as their email address for invites) within our App, in accordance with applicable privacy laws (such as GDPR, DPA, etc.).
  • You agree that as between you and Codechime, you are the "Data Controller" of the User Content you create and share, and Codechime acts solely as your "Data Processor." We will only process this data on your behalf to provide the Services.

7. Third-Party Services

The App utilizes third-party services, including, but not limited to, Google AdMob for serving advertisements in the Free Tier and Firebase for backend services (like data storage and notifications). Your use of these services is subject to their respective terms and privacy policies. Codechime is not responsible for these services. We do not share your personal Task and Collaboration Data (such as task names, descriptions, or comments) or your Team Information with third-party advertising services.

8. Disclaimers and Limitations of Liability

• Accuracy of Data: You are solely responsible for the accuracy and completeness of the User Content you enter.
• No Business or Productivity Advice: The App is an organizational tool and does not provide business, productivity, or legal advice.
• No Responsibility for Team Conduct: Codechime is not responsible for the actions, conduct, or User Content posted by you or your team members. Any disputes between you and your team members must be resolved among yourselves.
• Future Report Features: Future report features are provided for informational purposes only. Codechime makes no warranties regarding the accuracy or completeness of any calculations or reports generated by the App.
• Data Loss: We do not guarantee the prevention of data loss, especially for Guest Accounts. You are solely responsible for maintaining backups of any data you consider important.
• As-Is Basis: The Services are provided "as is" and "as available" without any warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
• Limitation of Liability: To the maximum extent permitted by applicable law, Codechime shall not be liable for any indirect, incidental, special, or consequential damages, or any loss of profits or data, arising out of or in connection with your use of the Services. In no event shall Codechime’s total liability to you exceed the amount you paid, if any, to use the Services in the twelve (12) months preceding the event, or one hundred US dollars ($100), whichever is greater.

9. Termination

We may terminate your access to the Services at any time, with or without cause. Upon termination, your right to use the Services will immediately cease. Provisions that by their nature should survive termination shall survive, including, without limitation, Section 6 (User Content), 8 (Disclaimers), and 10 (Governing Law).

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to its conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts located in Cebu City, Philippines.

11. Updates to these Terms

We may update these Terms from time to time. We will notify you of any material changes by posting the updated Terms within the App and/or through an in-app notification. Your continued use of the Services after the effective date constitutes your acceptance of the revised Terms.
